Media Usage License Agreement

MEDIA USAGE LICENSE AGREEMENT

This Media Usage License Agreement ("Agreement") is a legal contract between you ("Licensee" or "Buyer") and Studio 801 ("Licensor" or "Creator") governing the use of the digital assets purchased through this storefront, including but not limited to: ATEM program out recordings, multi-camera ISO tracks, unedited gimbal or far-field camera footage, multi-track audio stems, and photographs (collectively referred to as the "Media").

By completing your purchase, checking the terms acknowledgment box, or downloading the Media, you agree to be bound by the terms of this Agreement.

1. Grant of License

Subject to full payment of the purchase price, Licensor hereby grants to Licensee a non-exclusive, perpetual, worldwide, royalty-free, unlimited license to use, display, reproduce, distribute, publicly perform, edit, and remix the Media for personal, commercial, promotional, or broadcast purposes.

2. Reservation of Copyright & Ownership

THIS IS A LICENSE, NOT A SALE OF COPYRIGHT. Licensor retains all title, ownership rights, intellectual property rights, and original copyrights in and to the Media. This Agreement does not transfer, assign, or sell the underlying copyright of the Media to the Licensee. Licensor reserves all rights not expressly granted to Licensee in this Agreement.

3. Permitted Uses

Under this unlimited usage license, Licensee is permitted to:

  • Re-edit, cut, remix, or overlay the Media into new creative works.
  • Use individual multi-track audio stems to create new mixes or alternate masters.
  • Post, stream, or broadcast the Media on any social media platform, website, television network, or digital streaming service.
  • Utilize the raw footage or ISO tracks for future recap videos, promotional reels, or highlight cuts.

4. Prohibited Uses (Restrictions)

Licensee agrees NOT to:

  • Sell, sub-license, rent, distribute, or give away the raw, unedited Media (such as standalone audio stems or unedited camera clips) to third parties as stock footage, sound libraries, or standalone assets.
  • Claim authorship or sole copyright ownership over the original, unedited Media created by Licensor.
  • Use the Media in any way that is fraudulent, illegal, defamatory, or in violation of third-party rights.

5. Digital Protection & Misuse

Licensor delivers all master Media via secure, expiring download paths. Licensee agrees not to share their private download tokens or links with unauthorized third parties. Any unauthorized distribution of the secure download links may result in immediate termination of this license without a refund.

6. Limitation of Liability

The Media is provided "as is" without warranty of any kind. In no event shall Licensor be liable for any indirect, incidental, or consequential damages arising out of the use or inability to use the Media.
